Abstract

Korijene nastanka dioničkih društava možemo naći u srednjem vijeku. Prema dostupnim podacima, najstarije dioničko društvo je East India Company. Do pripajanja društava dolazi zbog ostvarenja različitih zajedničkih ciljeva određenih poslovnih subjekata poput povećanja proizvodnih mogućnosti, dostupnosti sredstava i uštede vremena. Pripajanje društava ne znači nužno uspjeh za sve sudionike procesa. Na naše svakodnevne aktivnosti utječu različite i brze promjene iz poslovnog svijeta, a toga mnogi nisu svjesni ili ne pridaju preveliku pažnju. U današnjem poslovnom svijetu, jasno je da je cilj svakog poduzeća određena financijska dobit. Pripajanje dioničkog društva bit će opravdano, iz gledišta dioničara, u tolikoj mjeri koliko se potencijal društva koje se pripaja iskaže kroz povećanje vrijednosti samih dionica. Pojednostavljeno gledano, pripajanje je proces u kojem se jedan poslovni subjekt pripaja drugom, gubi svoju samostalnost, ali nastavlja svoje djelovanje unutar drugog subjekta.

Abstract (english)

The origins of joint stock companies can be found in medieval times. According to the available data the oldest joint stock company was the East India Company. The acquisition of companies is a consequence of trying to reach goals like the increase of productive capabilites and time saving. Acquisition of the company doesn't guarantee success for all subjects involved in the process. Different and fast changes in the bussiness world affects our everyday activities, and most of the people are not even aware of that. It's clear that every company has the same goal, financial profit. The acquisition will be justified, from the stock holders stand of point, if the acquisition results with the increase of stock value. To simplify, the acquisition is a process in which one of the subjects get acquised by another, loses his independence, but continues to exist as part of the other subject.
