Abstract

I.) Kupoprodaja s obročnom otplatom cijene kupoprodaja je s posebnom pogodbom zakonski regulirana u čl. 464. – 473. ZOO-a. Njenom posebnosti smatra se ustanovljavanje posebnog prava kupca. Ugovorom o kupoprodaji s obročnom otplatom cijene obvezuje se prodavatelj predati kupcu određenu pokretnu stvar prije nego što mu cijena bude potpuno isplaćena, a kupac se obvezuje isplatiti njezinu cijenu u obrocima, u određenim vremenskim razmacima (čl. 464. ZOO-a). Predmetni ugovor sadrži elemente kreditiranja jer prodavatelj predaje predmet kupcu prije nego što primi odgovarajuću naknadu, privremeno smanjujući svoju imovinu u korist kupca. U uobičajenoj komunikaciji naziva se prodajom na rate ili prodajom na kredit te najčešće ima karakter potrošačkog ugovora premda se ne isključuje mogućnost da to bude trgovački ili građanskopravni ugovor bez posebnih obilježja. Odredbama čl. 464. – 473. ZOO-a, koje uređuju kupoprodaju s obročnom otplatom cijene, osnovna funkcija je zaštita kupca prisilnim odredbama, bez obzira na to što je većina njih protivna općim načelima obveznog prava. Međutim te odredbe su atavizmi budući da kupoprodajni ugovor s obročnom otplatom cijene uređuju već zastarjele odredbe ZOO, pored činjenice da je potrošačko kreditiranje već cjelokupno uređeno Direktivom 2008/48/EZ i ZPK-om.

Abstract (english)

II.) Hire purchase is a purchase and sale with a special agreement which is legally regulated in Art. 464 – 473 of Obligation Act. Its specialty is considered to be the establishment of a special right of the buyer. In a hire purchase, the seller undertakes to hand over a certain movable item to the buyer before the price is paid in full, and the buyer undertakes to pay its price in installments at certain time intervals (Art. 464 of the Obligation Act). The contract in question contains elements of credit because the seller hands over the item to the buyer before receiving the appropriate compensation, temporarily reducing his assets in favor of the buyer. In common communication, it is called installment sale or sale on credit and most often has the character of a consumer contract, although the possibility of it being a commercial or civil law contract without special features is not excluded. The provisions of Art. 464 - 473 of the Obligation Act, which regulate the hire purchase, the basic function is to protect the buyer with mandatory provisions, regardless of the fact that most of them are against the general principles of mandatory law. However, these provisions are atavisms since the hire purchase is regulated by the already outdated provisions of the Obligation Act, in addition to the fact that consumer lending is already completely regulated by European Directive 2008/48/EC and Law of consumer credit.
